Resolves YES if: On or before 2026-03-31T23:59:59Z, Microsoft issues an official press release or files an SEC Form 8-K announcing a definitive agreement to acquire a company that (a) is incorporated in a U.S. state or D.C., (b) is publicly listed on NYSE or Nasdaq at announcement, and (c) has an announced equity or enterprise value of ≥$5,000,000,000 stated in the announcement or 8-K.

Resolves NO if: No such qualifying acquisition announcement is made by the deadline, or announced deal value is below $5B, not disclosed, or the target is not a U.S.-incorporated, U.S.-listed public company at announcement.
